By accessing or using Karigor AI Labs ("Karigor," "we," "us," or "our") platform at karigor.ai and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you're using the Services on behalf of an organization, you represent that:

• You have authority to bind that organization to these Terms
• The organization agrees to be bound by these Terms
• "You" in these Terms refers to both you individually and the organization

If you don't agree to these Terms, please don't use our Services. We may update these Terms periodically, and continued use constitutes acceptance of changes.

Creating an Account

To use our Services, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Provide accurate, complete, and current registration information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential

Account Security

You are responsible for:

• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• Not sharing your credentials or allowing others to access your account

Organization Accounts

For team and enterprise accounts, the account administrator has additional responsibilities including managing team members, permissions, and ensuring all users comply with these Terms.

What We Provide

Karigor AI Labs offers:

• AI Agent Marketplace - Access to specialized AI agents ("Karigors") for various business tasks
• Agent Execution - Infrastructure to run AI agents with your inputs
• Results & Analytics - Outputs, insights, and performance data
• Professional Services - Training, consulting, and custom development

AI Output Disclaimer

AI agents generate outputs based on your inputs and underlying models. While we strive for accuracy:

• AI outputs may contain errors, inaccuracies, or omissions
• Outputs should be reviewed and verified before business use
• You are responsible for how you use AI-generated content
• We don't guarantee specific results or outcomes

Service Availability

We aim for high availability but don't guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. Enterprise customers may have SLA guarantees per their agreement.

Credit System

Our Services use a credit-based system. Credits are consumed when you execute AI agents. Different agents may consume different amounts of credits based on complexity and resources.

Purchasing Credits

• Credits can be purchased through our platform
• All purchases are processed securely through Stripe
• Prices are displayed in USD unless otherwise specified
• You're responsible for all taxes associated with your purchases

Subscription Plans

We offer subscription plans that include:

• Monthly credit allocations
• Access to premium features
• Priority support (varies by plan)

Subscriptions auto-renew unless cancelled. You can cancel anytime, and service continues until the end of the billing period.

Refund Policy

• Unused credits - Non-refundable after 30 days from purchase
• Subscription fees - Pro-rated refunds available within 14 days of payment
• Service issues - Credits may be restored for failed executions due to our systems

You agree NOT to use our Services to:

Illegal Activities

• Violate any applicable laws or regulations
• Engage in fraud, deception, or misrepresentation
• Infringe on intellectual property rights
• Facilitate illegal transactions

Harmful Content

• Generate content that promotes violence or harm
• Create defamatory, harassing, or discriminatory content
• Produce child sexual abuse material (CSAM) or related content
• Generate malware, viruses, or malicious code

Platform Abuse

• Attempt to circumvent security measures
• Overload, disrupt, or interfere with our systems
• Scrape, harvest, or collect data without authorization
• Resell or redistribute our Services without permission

Deceptive Practices

• Impersonate others or misrepresent your identity
• Create fake accounts or engage in credential sharing
• Use AI outputs to deceive without disclosure

Violation of this policy may result in immediate suspension or termination of your account without refund.

Our Intellectual Property

Karigor AI Labs owns all rights to our platform, including but not limited to:

• The Karigor brand, logo, and trademarks
• Platform code, design, and infrastructure
• AI agent architectures and implementations
• Documentation and educational content

We grant you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

Your Intellectual Property

You retain ownership of:

• Content you input into our AI agents
• Original works created using AI outputs (subject to AI provider terms)

AI-Generated Outputs

Ownership of AI-generated outputs is subject to:

• Applicable laws in your jurisdiction
• Terms of underlying AI model providers
• The nature of inputs and level of human creative contribution

We recommend consulting legal counsel for specific use cases, especially commercial applications.

Your Responsibilities

For any content you input into our Services, you represent that:

• You have the right to use and share that content
• The content doesn't violate any third-party rights
• The content complies with our Acceptable Use Policy

License Grant

By using our Services, you grant Karigor a limited license to process your content solely to provide the Services, including:

• Sending inputs to AI models for execution
• Storing results in your account
• Analyzing aggregated usage patterns (anonymized)

Data Handling

We handle your data in accordance with our Privacy Policy. We do not use your specific inputs or outputs to train AI models.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Services will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of AI outputs
• Warranties that our Services will meet your specific requirements

Some jurisdictions don't allow disclaimer of implied warranties, so some of these disclaimers may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KARIGOR AI LABS SHALL NOT BE LIABLE FOR:

• Indirect damages - Lost profits, revenue, data, or business opportunities
• Consequential damages - Arising from your use or inability to use the Services
• Third-party claims - Related to your use of AI outputs

Liability Cap

Our total liability for any claims under these Terms shall not exceed the greater of:

• The amount you paid to us in the 12 months preceding the claim, or
• One hundred US dollars ($100)

These limitations apply even if we've been advised of the possibility of such damages. Some jurisdictions don't allow limitation of liability, so these may not fully apply to you.

You agree to indemnify, defend, and hold harmless Karigor AI Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you input into or generate using our Services

By You

You can close your account at any time through your account settings or by contacting us. Upon closure:

• Your access to the Services will end
• Unused credits are forfeited (except within refund window)
• Your data will be deleted per our retention policy

By Us

We may suspend or terminate your access if:

• You violate these Terms or our policies
• Your account shows suspicious or fraudulent activity
• Required by law or to protect other users
• We discontinue the Services (with reasonable notice)

Effect of Termination

Sections that by their nature should survive termination will survive, including: intellectual property, warranties, limitation of liability, indemnification, and dispute resolution.

Informal Resolution

Before filing any formal dispute, please contact us at legal@karigor.ai. We'll work in good faith to resolve issues within 30 days.

Governing Law

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to conflict of law principles.

Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration administered by the Bangladesh International Arbitration Centre (BIAC) under its Arbitration Rules. The seat of arbitration shall be Dhaka, Bangladesh, and proceedings shall be conducted in English.

Jurisdiction

For any matters not subject to arbitration, the courts of Dhaka, Bangladesh shall have exclusive jurisdiction. You consent to the personal jurisdiction of such courts.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the Services.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Karigor AI Labs regarding the Services.

Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of future enforcement.

Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

Notices

We may send notices via email to your registered address or through in-app notifications. You can contact us at the addresses below.

Updates to Terms

We may modify these Terms at any time. We'll notify you of material changes via email or prominent notice on our platform. Continued use after changes constitutes acceptance.
